4月3日,据外媒TechCrunch报道,OpenAI正从非营利机构转型为营利性企业,并打算组建专家小组来深入剖析当前非营利组织所面临的最大挑战,以此指导未来的慈善工作。
OpenAI表示该小组将广泛吸纳医疗、科学、教育及公共服务领域的意见,特别是来自OpenAI总部所在地加利福尼亚州的行业领袖与社区代表的声音。小组成员名单将于4月公布,并计划在90天内向OpenAI董事会提交研究报告。
OpenAI在博文中指出,董事会将在2025年底前参考这些建议,进一步调整其非营利业务。公司还强调,董事会高度重视与慈善界及相关从业者的合作,以确保OpenAI的慈善资源得到最佳利用。
OpenAI于2015年成立时是一家非营利研究机构,但随着AI研究成本的不断攀升,公司调整了架构,引入微软等外部投资,如今采用了非营利组织控股的营利性模式,并对投资者和员工的收益设有“利润上限”。
不过,OpenAI计划进一步调整架构,将当前的营利性实体转变为传统股份制公司,发行普通股,而原非营利组织将获得数十亿美元,并放弃对公司的控制权。这一转型对OpenAI至关重要,若无法在今年年底前完成,至少作为投资方之一的软银可能会撤回数十亿美元的投资承诺。
On April 3rd, according to foreign media TechCrunch, OpenAI is transitioning from a non-profit organization to a for-profit enterprise and plans to establish an expert panel to deeply analyze the greatest challenges currently faced by non-profit organizations, thereby guiding future charitable work.
OpenAI stated that the panel would extensively gather opinions from the medical, scientific, educational, and public service sectors, especially voices from industry leaders and community representatives in California, the location of OpenAI’s headquarters. The list of panel members will be announced in April, with plans to submit a research report to the OpenAI board within 90 days.
OpenAI pointed out in a blog post that the board would consider these recommendations by the end of 2025 to further adjust its non-profit operations. The company also emphasized that the board highly values cooperation with the charitable sector and related practitioners to ensure the optimal use of OpenAI’s charitable resources.
When established in 2015, OpenAI was a non-profit research institution. However, as the cost of AI research continued to rise, the company adjusted its structure, introducing external investments such as Microsoft. It now adopts a for-profit model controlled by a non-profit organization and has set a “cap on profits” for investors and employees.
However, OpenAI plans to further adjust its structure by transforming the current for-profit entity into a traditional joint-stock company, issuing common shares, while the original non-profit organization will receive billions of dollars and relinquish control of the company. This transformation is crucial for OpenAI; if it cannot be completed by the end of this year, at least one investor, SoftBank, may withdraw its multi-billion-dollar investment commitment.
